Welcome to HEY Logistics LLC (“we,” “us,” “our”). These Terms of Service (“Terms”) govern your use of our logistics service, mobile and web app or other media and related services (the “Services”). By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and accepted these Terms, including any future updates.

2. Eligibility

You must be at least 18 years of age to use our Services. By registering or placing an order, you confirm that you meet this requirement.

3. Scope of Services

HEY Logistics provides international shipping, warehousing, procurements, pickup and freight forwarding solutions. Shipments may be transported by air, road, sea, or subcontracted carriers. All shipments and services are subject to these Terms and applicable regulations.

4. User Responsibilities

Accurate Information: You must provide complete and accurate details for shipment processing. Any misinformation may cause delays or shipment failure.
Prohibited Items: You may not ship any illegal, restricted, hazardous, corrosive, flammable, or explosive items. We reserve the right to reject such items.
Packaging: You are responsible for packaging goods securely to prevent damage in transit.
Receiver Identification: The receiver must provide valid identification and documentation if requested. Name mismatches may result in delivery refusal, hold or forfeited.
Unverified or Abandoned Package: In the event where a shipment remains unverified due to the failure of the registered client to provide valid identification or required documentation within the allotted timeframe, and the return address cannot be verified, HEY Logistics reserves the right to classify the shipment as abandoned. If a shipment is deemed abandoned, HEY Logistics may, at its sole discretion, hold, dispose of, or destroy the package without further notice or liability to the client. In such cases, the client waives any claim to the package or its contents, and HEY Logistics shall not be held responsible for any associated loss, damage, or cost. HEY Logistics also reserves the right, where permissible, to recover reasonable handling or storage costs through liquidation, recycling, or public auction of abandoned items.

5. KYC, Fraud Prevention & AML Compliance

We reserve the right to request a valid government-issued ID, proof of purchase, and shipment details for any transaction. Inconsistent or suspicious information may trigger further investigation or shipment delay. We may reject or hold shipments until full verification is complete. This is in line with our Anti-Money Laundering (AML) and Know-Your-Customer (KYC) policies.

6. Measurements & Shipping Rates

- All packages are remeasured at our warehouse using airline-standard volumetric methods. Factory or supplier measurements will not be honored.
- Rates may change without prior notice. We recommend confirming current rates via our official website or contact center before shipping.

7. Payment & Invoicing

- Services must be paid in full before pickup or shipment.
- Shipments will not be processed without verified payment.
- Additional fees (e.g., customs, demurrage, re-routing) are the responsibility of the shipper/receiver.

8. Delivery & Route

- We deliver to the address specified on the waybill or updated in writing. If the receiver is unavailable or unidentifiable, we may attempt return at your expense or dispose of the package.
- We reserve the right to choose the transport route based on efficiency and safety.

9. Receiver Acknowledgment & Release of Liability

Once the shipment is handed over to the receiver or an authorized third party at the delivery address or pickup location, our liability is discharged. The receiver must inspect and confirm the shipment before departure from our premises. Complaints after acknowledgment will not be accepted.

10. Delivery Timeline

Estimated delivery timelines are not guaranteed. We are not liable for delays caused by customs, airlines, third-party carriers, strikes, weather, or force majeure events.

11. Insurance

- Standard Insurance: 10% of value, covers up to 50%.
- Premium Insurance: 35% of value, covers 100%.
Goods shipped without insurance are at the shipper’s risk. We are not liable for loss or damage if insurance was not purchased. HEY Logistics strongly advise on Insurance either through the company or third party.

12. Claims & Refunds

- Claims for loss or damage must be submitted in writing within 14 days of shipment acceptance.
- One claim per shipment is allowed.
- Refunds (if approved) are returned to the originating account within 3–180 days, after deducting fees and any insurance payouts.
- Claims will not be honored if labels were incorrectly affixed or declared information was false.

13. Customs, Taxes & Documentation

- You must comply with all customs laws of the destination country. Customs fees and duties are beyond our control and must be paid by the receiver.
- Failure to provide accurate documentation may result in the shipment being returned or auctioned.

14. Storage, Perishables & Forfeiture

- Perishable goods are shipped at the customer’s risk.
- Unclaimed shipments after 3 days will incur demurrage.
- Uncollected goods after 1 month may be forfeited and disposed of.

15. Hazardous Goods

The Shipper warrants that all goods are safe for handling and not classified as hazardous. HEY Logistics does not accept dangerous, corrosive, noxious, explosive, flammable, or otherwise restricted goods. If such goods are found: - They may be seized, disposed of, or returned at the shipper’s expense.
- The shipper shall be liable for any loss, damage, injury, or expenses caused to HEY Logistics, its personnel, subcontractors, or third parties.
- If goods pose immediate danger, HEY Logistics may take any necessary action without liability, including destruction or abandonment.

16. Right of Inspection

We reserve the right to open and inspect any package without prior notice. Any concealed restricted or prohibited item may result in service denial and legal action.

17. Subcontracting & Third Parties

We may use subcontractors for any part of the Services. We are not liable for acts or omissions by these third-party partners.

18. Carrier Lien

We reserve the right to retain possession of any goods until all outstanding balances (including fees, duties, or penalties) are paid.

19. Limitation of Liability

The Carrier's liability for direct loss or damage is strictly limited to the declared value of the shipment as stated on the waybill. If no value is declared, liability is limited to the amount paid for the shipment. Other types of loss or damage are not covered, including but not limited to:
- Lost profits, income, interest, or future business,
- Consequential, incidental, special, or indirect damages,
- Delays caused by third-party carriers, customs, or airline handling,
- Improper labeling, false documentation, or inadequate packaging.
Even if the financial or operational risks associated with such loss or damage were communicated directly or indirectly to HEY Logistics before or after shipment acceptance, HEY Logistics LLC shall not be held liable.

20. Dispute Resolution & Jurisdiction

Disputes will first be resolved amicably. If unresolved:
- Nigerian disputes shall be referred to the Lagos Multi-Door Courthouse (LMDC) under its mediation rules.
- U.S. disputes shall be resolved by binding arbitration in Texas under Texas law.

21. Communication

By accessing and using our Site, App or Services via mobile devices or computer or any other electronic device, you agree to receive mobile communications such as SMS, email, or app alerts. All such communications are governed by these Terms, even when occurring outside our platform.

22. Identity Verification & Misrepresentation

HEY Logistics reserves the right to reject, seize, or hold any shipment pending verification, especially where purchase documentation does not match the shipper’s identity. We do not assume responsibility for validating third-party authorizations. All risks associated with misrepresentation lie with the client.

23. General Terms & Waiver

These Terms represent the full agreement between HEY Logistics LLC and the customer. No verbal or informal agreement modifies these Terms. Failure by HEY Logistics to enforce any right does not waive our ability to enforce it later.

24. Account Termination

HEY Logistics reserves the right to suspend or permanently close any user account where the client fails to comply with verification procedures, submits inconsistent or misleading information, or is abusive, involved in activity deemed suspicious, fraudulent, or non-compliant with our shipping and security standards.

25. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our Services after any update constitutes your acceptance.
